Had a possible new client there who sent me their NDA so we could talk more in detail on the project before signing contracts. But it included, no joke, conflict of interest and non-compete clauses for up to a year... for an NDA!

They wouldn't remove them, so I walked.

Always read every agreement.

I was a bit shocked. They weren't even offering a great rate. But still.

There's no way I'd sign a non-compete when I run a freelance business working with many direct competitors. They'd have to lock in a long-term contract with very high pay for me to even consider that.

No thanks.

@denmanrooke As a freelance software developer, I've seen companies do this so often. I eventually got tired of having to argue about the non-competes every time and just paid to have my own (actually reasonable) T&C drafted and now I offer them that instead of signing whatever garbage 'contractor agreement' customers come up with.

@joepie91 I was going to do this as my next step (as I have a mutual NDA I've used before)... but after they came back a second time with a slight adjustment to wording but still maintaining the core clauses, they already said they wouldn't change it so I said farewell.
